The following terms and conditions (“Terms”) govern your use of this Site. By accessing, viewing, or using the content, material, or services available on or through this Site, you indicate you have read and understand these Terms, you agree to them, and intend to be legally bound by them. By accepting these Terms and Conditions through your use of the Site, you certify you are at least eighteen (18) years of age. If you are under eighteen (18) but at least thirteen (13) years of age, you may use this Site under supervision of a parent or legal guardian who agrees to be bound by these Terms. Ascension Press does not knowingly collect personal information about children under thirteen (13) years of age without prior parental consent. If we become aware a child under the age of thirteen (13) has provided personal information to us, we will delete the information from our records. If you are a parent or legal guardian agreeing to these Terms and Conditions for the benefit of a child between the ages of thirteen (13) and eighteen (18), you are fully responsible for the child's use of this Site, including all financial charges and legal liability may arise out of your child's usage of the Site.

1. Informational Purposes Only.
The information on this Site is for informational purposes only. Without limiting anything else in these Terms or otherwise, Ascension Press is not responsible for any errors or omissions in the Site or Site Materials, and Ascension Press is not responsible for any errors or omissions in the Site or Site Materials.
2. Registration.
In order to access certain content, presentations, webinars, videos, services, products or benefits on the Site, including to register for a continuing educational course, you may be asked to register and create an account. As part of the registration process, you must click to agree to these Terms and may then be asked to select a user name and password. You may also be required to provide Ascension Press with certain information about yourself including some types of personally identifying information such as your email and your address. You are fully responsible for your account, including use of the account by any third party, and maintaining the confidentiality of your password. You may terminate your account at any time by contacting us at [email protected].
3. Proprietary Rights.
As between any user and Ascension Press, Ascension Press owns or licenses all data, content, graphics, audio clips, video clips, presentations, webinars, lessons, workbooks, seminars, forms, artwork, images, photographs, functional components and any software concepts and documentation and other material on, in, or made available through the Site (“Site Materials”), as well as the selection, coordination, arrangement, and organization and enhancement of the Site Materials. All Site Materials are protected pursuant to copyright, trademark, patent and other applicable laws. You agree not to remove or alter any copyright notice or any other proprietary notice on any Site Materials. As between any user and Ascension Press, all names, trademarks, service marks, certification marks, symbols, slogans or logos appearing on the Site are proprietary to Ascension Press or its affiliates, licensors, or suppliers. Use or misuse of these trademarks is expressly prohibited and may violate federal and state trademark law. Under no circumstances will you have any rights of any kind in or to the Site Materials, other than the right to use the Site Materials in accordance with these Terms and the limited fair use described herein. Fair use of copyrighted material includes the use of protected materials for non-commercial educational purposes, such as teaching, scholarship, research, criticism, commentary, and news reporting. Unless otherwise noted, you may download, print, or display text and image files from this Site solely for such purposes as expressly permitted on the Site, provided you comply with the following conditions: (a) the content may only be used for personal, educational, or noncommercial purposes; (b) you must cite the author and source of the content; (c) none of the content may be altered or modified; and (d) you must comply with all other terms or restrictions which may be applicable to the individual file, video, image, or text.
4. Payment.
Some products or services on the Site may be available for purchase. By registering for such services from Ascension Press or purchasing products or services on the Site, you represent you are eighteen (18) years of age or older. You are responsible for all charges incurred under your account, whether made by you or another person using your account. If for any reason Ascension Press does not receive payment for a purchase, Ascension Press may exercise its rights in law and equity, including (a) immediately suspending or terminating your account; (b) seeking collection of the outstanding amount owed; and/or (c) seeking legal action against you for the breach of these Terms. You are also responsible for paying any governmental taxes imposed in connection with use of the Site or the purchase or any products or services, including sales, use or excise taxes (excluding only taxes on Ascension Press’s net income). To the extent Ascension Press is obligated to collect such taxes, the applicable tax will be added to your billing account. Refunds are made only in accordance with Ascension Press’s refund policy.
5. Unauthorized Activities.
You agree you will not use the Site for (a) any illegal or unauthorized purposes that violate any local, national, or international laws (including but not limited to import, export, copyright, and trademark laws); (b) modifying, copying, distributing, displaying, performing, reproducing, publishing, licensing, creating derivative works from, transferring, selling any of the Site Materials, unless otherwise authorized by these Terms or in a separate written agreement with Ascension Press; (c) attempting to gain unauthorized access to Ascension Press’s computer system or engaging in any activity interfering with the performance of, or impairs the functionality of the Site or any services provided through the Site; or (d) removing, circumventing, disabling, damaging or otherwise interfering in any way with any security-related features of the Site aimed at preventing or restricting the unauthorized use of the Site or any of the Site Materials; or (e) the copying, storing, collecting, or list-building of user information for any commercial or non-commercial purposes, or the unsolicited contact of users, unless otherwise authorized by these Terms or in a separate written agreement with Ascension Press. You may use the Site and the Site Materials for your own personal, noncommercial use, or in ways otherwise consistent with Section 3 of these Terms. Any other use of the Site or Site Materials, including but not limited to the aforementioned unauthorized uses, without prior written permission of Ascension Press is strictly prohibited. You acknowledge and agree the unauthorized use of the Site or the Site Materials could cause irreparable harm to Ascension Press and in the event of such unauthorized use, Ascension Press shall be entitled to an injunction in addition to any other remedies available at law or in equity.

6. Materials Submitted to the Site.
Certain features of the Site may allow you to contribute comments, feedback, information, content, text, files, graphics, postings, and other materials and information for access, use, viewing and commentary by other users to the Site (“User Content”). 11. Indemnification.
You shall indemnify Ascension Press and its directors, officers, employees, agents, contractors and licensors (“Ascension Press Indemnitees”) against all claims, actions, suits, and other proceedings (“Claims”) arising out of or incurred in connection with the Site and your use of the Site, the Site Materials or any services, product or data obtained through the Site, your fraud, violation of law, negligence, willful misconduct, or any other use of the Site, the User Content, the Site Materials, the services, products, information and other materials on, in and made available through the Site, (except to the extent attributable to Ascension Press), or any breach by you of these Terms and shall indemnify and hold Ascension Press Indemnitees harmless from and against all judgments, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and attorneys’ disbursements) arising out of or incurred in connection with such Claims. You may not settle any Claim without the prior written consent of Ascension Press. Ascension Press or its licensors may assume the defense of any Claim, at your sole cost and expense, and you shall cooperate in all reasonable respects in such defense. You shall have the right to employ separate counsel in any Claim and to participate in the defense thereof. If Ascension Press or its licensors do not notify you it elects to undertake the defense thereof, you shall have the right to defend the Claim with counsel reasonably acceptable to Ascension Press, subject to the right of Ascension Press to assume, at their sole cost and expense, the defense of any Claim at any time prior to the settlement or final determination thereof.
12. Internet Security.
Ascension Press uses reasonable efforts to ensure that the Site is generally available. However, there will be occasions when access to the Site will be interrupted or unavailable. Ascension Press will use reasonable efforts to minimize such disruption where it is within its reasonable control. You agree Ascension Press shall not be liable to you for any modification, suspension or discontinuance of the Site. You understand the technical processing and transmission of any Site content may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Please be advised we do not guarantee information sent from our Site will be secure during transmission, nor can we guarantee the confidentiality of any communication or material transmitted to Ascension Press via the Site or the Internet, including, for example, personal information such as your name or address.
13. Digital Millennium Copyright Act.
a. If you are a copyright owner or an agent thereof and believe that any User Content or Site Materials infringe upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- Identification of the material is claimed to be infringing or to be the subject of infringing activity and is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
- Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
- A statement you have a good faith believe use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

b. Counter-Notice. If you believe your User Content was removed (or to which access was disabled) is not infringing, or you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the User Content, you may send a counter-notice containing the following information to the Copyright Agent:
- Your physical or electronic signature;
- Identification of the removed User Content or to which access has been disabled and the location at which the User Content appeared before it was removed or disabled;
- A statement you have a good faith belief the User Content was removed or disabled as a result of mistake or a misidentification of the User Content; and
- Your name, address, telephone number, and e-mail address, a statement you consent to the jurisdiction of the federal courts located in Chester County, Pennsylvania, and a statement you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received by the Copyright Agent, Ascension Press may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed User Content or cease disabling it in ten (10) business days. Unless the copyright owner files an action seeking a court order against the content provider or user, the removed User Content may be replaced, or access to it restored, in ten (10) to fourteen (14) business days or more after receipt of the counter-notice, at Ascension Press’s sole discretion.
Changes
14. Changes to these Terms; Termination.
Ascension Press reserves the right at any time to modify, alter or update these Terms. We will notify you on the Site or by email of any new or revised Terms, including information regarding the location of the new or revised terms and conditions. Your use of the Site following any changes means you agree to follow and be bound by the terms as changed. Any change to these Terms shall be effective as to any visitor who has visited the Site before the change was made. It is the obligation of users visiting the Site before the change to learn of changes to the Terms since their last visit. Ascension Press may suspend or terminate your account and/or your ability to use the Site, or any services on the Site for failure to comply with these Terms, for providing Ascension Press with untrue or inaccurate information about yourself, for infringement upon Ascension Press proprietary rights, or for any other reason whatsoever or for no reason.
15. Changes to Offerings.
Ascension Press reserves the right at any time and in its sole discretion to (i) add, remove, modify, alter or update any of the items, services, or features offered through the Site, including but not limited to the content available in connection with subscription services; and (ii) change the prices of items purchased through the Site or the fees for subscription services. We will identify significant changes in the services, features, or pricing on the Site, and will use reasonable efforts to notify subscribers in advance of any changes that will affect their subscriptions. Continued use of subscription services after receipt of our notice will constitute the subscriber’s consent to such changes.
16. Governing Law and Jurisdiction.
These Terms represent the entire agreement between you and Ascension Press with respect to the subject matter hereof, and supersede any and all prior and contemporaneous written and oral representations, understandings, and agreements, express and implied, and will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without reference to its conflict of law rules; PROVIDED, HOWEVER, THAT THE TERMS OF ANY APPLICABLE LAW NOW OR HEREAFTER ENACTED THAT IS BASED ON, DERIVED FROM, SIMILAR TO, OR CONNECTED WITH THE UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT DRAFTED BY THE NATIONAL CONFERENCE OF COMMISSIONERS ON UNIFORM STATE LAWS SHALL NOT APPLY EXCEPT TO THE EXTENT THAT THE LAW EXPRESSLY PROHIBITS ALTERATION BY THESE TERMS OF THE APPLICABILITY OF ONE OR MORE SECTIONS OF THE LAW. By accessing, viewing, or using the services, works, content, or materials on the Site, you consent and agree to (a) the exclusive jurisdiction of the federal and state courts located in Chester County, Pennsylvania; (b) accept service of process by personal delivery or mail; and (c) irrevocably waive the right to trial by jury and any jurisdictional and venue defenses otherwise available.
17. Miscellaneous.
The Site is controlled and operated from within the United States. Without limiting anything else, Ascension Press makes no representation the Site, Site Materials, User Content, services, products, information or other materials available on, in, or through the Site is appropriate or available for use in other locations, and access to them from territories where they are illegal is prohibited. Those who choose to access the Site from other locations do so on their own volition and are responsible for compliance with applicable laws. The waiver or failure of Ascension Press to exercise in any respect any right provided hereunder shall not be deemed a waiver of such right in the future or a waiver of any of other rights established under these Terms. Headings used in these Terms are for reference only and shall not affect the interpretation of these Terms. Any person or entity not party to this agreement will be deemed a third party beneficiary of these Terms or any provision hereof. When used herein, the words “includes” and “including” and their syntactical variations shall be deemed followed by the words “without limitation.”
